NotaryNavigator Platform

NotaryNavigator is a registered trademark of Notary Navigator LLC, incorporated in the State of Arizona.

1. Agreement to These Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and NotaryNavigator, a platform operated by Notary Navigator LLC (“we,” “us,” or “our”), governing your access to and use of the NotaryNavigator website and platform located at www.notarynavigator.com (the “Platform”).

By creating an account, accessing the Platform, or clicking any button indicating acceptance, you agree to be bound by these Terms. If you do not agree, do not access or use the Platform.

We may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. We will notify registered users of material changes by email. 

2. Description of the Platform

NotaryNavigator is a professional directory and matching platform that connects Notary2Pro-certified notary signing agents (“Notary Members”) with businesses and employers (“Employer Members”) that require notarial services. The Platform serves two distinct user types:

  • Employer Members: Businesses, employers, title companies, law firms, HR departments, mortgage lenders, signing services, and other organizations that register to search for and contact certified notaries.
  • Notary Members: Notary2Pro-certified professionals who register to create a public profile on the Platform and be discovered by Employer Members.

The Platform facilitates introductions between these two groups. NotaryNavigator is not a staffing agency, signing service, or party to any agreement between Employer Members and Notary Members.

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between NotaryNavigator and any user.

NotaryNavigator is not responsible for payments, fees, disputes, cancellations, or performance of services between users unless explicitly stated in a separate written agreement signed by NotaryNavigator.

3. Account Registration and Eligibility

3.1 Employer Members

To register as an Employer Member, you must:

  • Be a representative of a legitimate business or organization, not an individual consumer acting in a personal capacity.
  • Provide accurate and complete information including your full name, company name, work email address, phone number, and professional role.
  • Confirm at the time of registration that you are acting on behalf of a business or organization.
  • Be at least 18 years of age.

By registering, you represent and warrant that all information provided is true, accurate, and current, and that you have the authority to bind your organization to these Terms.

3.2 Notary Members

To register as a Notary Member, you must:

  • Be a current graduate in good standing of the Notary2Pro Elite Loan Signing Agent Course.
  • Hold a valid notary commission in the state(s) in which you are registered to practice.
  • Provide accurate and complete profile information including commission details, expiration date, service area, and services offered.
  • Acknowledge that providing false information, including falsified certification or commission status, may result in immediate removal from the Platform.

Notary Members authorize NotaryNavigator to verify graduation status via the Notary2Pro credentialing database and to display their professional profile information publicly to registered Employer Members.

Notary Members agree to promptly update any changes to commission status, licensing, or qualifications. Failure to maintain accurate and current information may result in suspension or removal from the Platform.

Continued eligibility as a Notary Member is contingent on maintaining good standing with Notary2Pro and compliance with its published standards and policies. Loss of good standing with Notary2Pro constitutes grounds for immediate suspension or removal from NotaryNavigator. 

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at contactus@notarynavigator.com of any unauthorized use of your account.

4. Permitted and Prohibited Uses

4.1 Permitted Uses

Employer Members may use the Platform to:

  • Search the notary directory and filter results by service type, location, language, certifications, and availability.
  • View Notary Member profiles and contact information for the purpose of engaging notarial services.
  • Contact Notary Members directly to inquire about or arrange notarial services.

Notary Members may use the Platform to:

  • Create and maintain a professional profile visible to registered Employer Members.
  • Receive inquiries and direct contact from Employer Members.
  • Access mentoring and professional development resources provided through the Platform. 

4.2 Prohibited Uses

The following uses of the Platform are strictly prohibited and constitute a material breach of these Terms:

  • Commercial exploitation of the database: You may not access, scrape, copy, compile, download, or otherwise extract notary contact information, profile data, or any portion of the Platform directory for the purpose of building a competing directory, service, or product, or for resale to third parties.
  • Competitive intelligence: You may not use the Platform if you are an employee, owner, officer, or agent of a competing notary directory, placement service, or signing services platform, or if your primary purpose in registering is to gather competitive intelligence.
  • Spam and unsolicited communications: You may not use notary contact information obtained through the Platform to send unsolicited commercial communications, marketing messages, or solicitations unrelated to a legitimate notarial services engagement.
  • Misrepresentation: You may not misrepresent your identity, company affiliation, or intended use of the Platform at the time of registration or at any time thereafter.
  • Unauthorized data collection: You may not use automated tools, bots, scrapers, or other means to collect data from the Platform beyond what is accessible through normal browsing.
  • Harassment or abuse: You may not use the Platform to harass, intimidate, or abuse Notary Members or other users.
  • Unlawful purposes: You may not use the Platform for any purpose that violates applicable federal, state, or local law.

We reserve the right to terminate any account we reasonably believe is being used in violation of these provisions, without notice and without refund of any fees paid. We further reserve the right to remove or modify any profile or content on the Platform at our discretion. 

5. Fees and Payment

5.1 Currently Free Features

As of the Effective Date, the following features are provided at no charge:

  • Basic directory search and filtering for registered Employer Members.
  • Notary Member profile listing for all eligible Notary2Pro graduates.
  • Direct contact between Employer Members and Notary Members through the Platform. 

5.2 Future Paid Features

NotaryNavigator reserves the right to introduce fees for additional features and services, including but not limited to appointment booking, document management, payment processing, and premium placement. We will provide reasonable advance notice to registered users before any currently free feature becomes subject to a fee. 

6. Intellectual Property

All content on the Platform, including text, graphics, logos, design elements, software, and the compilation of notary profile data as a collective work, is the property of Notary Navigator LLC or its licensors and is protected by applicable intellectual property laws. The organization and compilation of user data on the Platform constitute proprietary intellectual property of Notary Navigator LLC.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose as described in these Terms. No other rights are granted. You may not reproduce, distribute, modify, create derivative works from, or commercially exploit any portion of the Platform without our express written consent.

By submitting content to the Platform, including but not limited to profile information, biographical text, and professional credentials, you grant NotaryNavigator a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute such content in connection with the operation and promotion of the Platform.

7. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NOTARYNAVIGATOR DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

NOTARYNAVIGATOR DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR CURRENCY OF ANY NOTARY PROFILE INFORMATION, INCLUDING COMMISSION STATUS, CERTIFICATION, OR AVAILABILITY. EMPLOYER MEMBERS ARE ENCOURAGED TO CONDUCT THEIR OWN VERIFICATION OF NOTARY CREDENTIALS BEFORE ENGAGING SERVICES.

NOTARYNAVIGATOR IS NOT A PARTY TO ANY TRANSACTION OR AGREEMENT BETWEEN EMPLOYER MEMBERS AND NOTARY MEMBERS, AND MAKES NO WARRANTY REGARDING THE QUALITY, SAFETY, OR LEGALITY OF SERVICES PROVIDED. 

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOTARYNAVIGATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

WE ARE NOT LIABLE FOR ANY DELAY OR FAILURE TO PERFORM OUR OBLIGATIONS UNDER THESE TERMS ARISING FROM CAUSES BEYOND OUR REASONABLE CONTROL, INCLUDING BUT NOT LIMITED TO ACTS OF GOD, NATURAL DISASTERS, PANDEMIC, WAR, TERRORISM, LABOR DISPUTES, GOVERNMENT ACTION, INTERNET OR INFRASTRUCTURE OUTAGES, OR THIRD-PARTY SERVICE FAILURES.

9. Indemnification

You agree to indemnify, defend, and hold harmless NotaryNavigator, Notary Navigator LLC, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any transaction or dispute between you and another Platform user. 

10. Termination

We may suspend or terminate your account at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to violation of these Terms, provision of false registration information, misuse of notary contact data, loss of Notary2Pro good standing, failure to maintain current and accurate profile information, or conduct that we determine, in our sole discretion, is harmful to the Platform, its users, or the professional reputation of the notary industry.

You may terminate your account at any time by contacting us at contactus@notarynavigator.com. Upon termination, your right to access the Platform ceases immediately. 

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arizona without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Platform shall first be submitted to good-faith mediation. If mediation is unsuccessful, disputes shall be resolved through binding arbitration administered under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. 

12. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and NotaryNavigator regarding the Platform.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.

Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely.

Independent Parties: Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between NotaryNavigator and any user.
